Terms & Conditions

By accessing or using True North Marketing's website and services, you agree to be bound by these Terms and Conditions and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing our services.

These Terms constitute a legally binding agreement between you (whether personally or on behalf of an entity) and True North Marketing FZ LLC, registered in Dubai, United Arab Emirates.

Marketing Services

We provide performance marketing, social media marketing, SEO, content marketing, and strategic consultation services. Service scope, deliverables, and timelines are defined in individual service agreements or proposals.

Development Services

Our development services include web development, app development, UI/UX design, e-commerce solutions, and AI integration. Technical specifications and project requirements are outlined in separate project agreements.

Service Modifications

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time. We will provide reasonable notice of significant changes that may affect existing client agreements.

Information Accuracy

You agree to provide accurate, current, and complete information when engaging our services. You are responsible for maintaining the confidentiality of your account credentials.

Cooperation

Timely provision of necessary materials, access, feedback, and approvals is essential for project success. Delays caused by lack of cooperation may affect project timelines and costs.

Content Ownership

You warrant that all content, materials, and information provided to us do not infringe on any third-party intellectual property rights and that you have the necessary rights to use and authorize us to use such materials.

Compliance

You agree to comply with all applicable laws and regulations in connection with your use of our services, including advertising standards, data protection laws, and industry-specific regulations.

Fees and Billing

Service fees are outlined in individual proposals or agreements. Payment terms typically require an upfront deposit with the balance due upon completion or according to agreed milestones.

Late Payments

Late payments may incur interest charges at the rate of 2% per month or the maximum rate permitted by UAE law, whichever is lower. We reserve the right to suspend services for accounts with overdue balances.

Refund Policy

Refunds are handled on a case-by-case basis. Generally, deposits are non-refundable once work has commenced. Any refund requests must be submitted in writing and will be evaluated based on work completed.

Taxes

All fees are exclusive of applicable taxes. You are responsible for paying all taxes associated with your purchase, including VAT as required by UAE law.

Our IP

All content on our website, including text, graphics, logos, images, software, and methodologies, is the property of True North Marketing and protected by UAE and international intellectual property laws.

Client IP

Upon full payment, you will own the final deliverables created specifically for you as outlined in the service agreement. We retain the right to use general knowledge, skills, and experience gained during the engagement.

Portfolio Rights

Unless otherwise agreed in writing, we reserve the right to display completed projects in our portfolio and marketing materials. Confidential information will not be disclosed without permission.

Third-Party Tools

Some deliverables may incorporate third-party tools, templates, or resources subject to separate licensing terms. You are responsible for complying with such licenses.

Service Disclaimer

Our services are provided 'as is' without warranties of any kind, either express or implied. We do not guarantee specific results, rankings, traffic, or revenue from our services.

Liability Cap

To the maximum extent permitted by UAE law, our total liability for any claims arising from our services shall not exceed the amount paid by you for the specific services giving rise to the claim.

Indirect Damages

We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, data loss, or business interruption.

Third-Party Platforms

We are not responsible for changes to third-party platforms (Google, Meta, etc.), algorithm updates, or policy changes that may affect campaign performance.

By Client

You may terminate services with 30 days' written notice. You remain responsible for payment of all work completed and costs incurred up to the termination date.

By True North Marketing

We may terminate services immediately if you breach these terms, fail to make timely payments, or engage in conduct that we reasonably believe could harm our reputation or business.

Effect of Termination

Upon termination, all outstanding fees become immediately due. We will provide you with work completed to date, subject to payment of all amounts owed.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates and the applicable laws of the Emirate of Dubai.

Jurisdiction

Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Dubai, United Arab Emirates.

Mediation

Prior to initiating formal legal proceedings, both parties agree to attempt to resolve disputes through good faith negotiation and, if necessary, mediation.

Entire Agreement

These Terms, together with any service agreements or proposals, constitute the entire agreement between you and True North Marketing.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

Waiver

Our failure to enforce any right or provision shall not constitute a waiver of that right or provision.

Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.

Amendments

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or website notice. Continued use of our services after changes constitutes acceptance.
